Platform Privacy Policy

Your privacy is important to us. This Platform Privacy Policy (“Privacy Policy”) explains how Previdence Corporation (“we,” “us,” and “our”) collects, uses, stores, and shares your personal information in connection with your use, access, and other related interactions with our proprietary technology platform and related online services (collectively, the “Platform”).

Your use of the Platform means that you agree with this Privacy Policy and future changes to it. IF YOUDO NOT AGREE WITH ALL OF THE PROVISIONS OF THIS PRIVACY POLICY, THEN YOU MUST NOT USE ORMUST STOP USING THE PLATFORM IMMEDIATELY.

Please know that if you, your affiliated organization, or an organization who is authorizing us to provide you with access to the Platform, has executed a master services agreement with us (a “Master Agreement”), then the data ownership/licensing, privacy and security provisions in the Master Agreement apply to our use and disclosure of your information. To the extent the Master Agreement conflicts or is inconsistent with these Terms, the Master Agreement shall take precedence and control.

Who we collect information from

We collect information from the “Users” of our Platform, including you. You are a User. What information we collect about you, how long we store it, what we use it for, and who and for what purposes we share depends on type of User and how you use our Platform. The types of individuals we intend to use our Platform include:

  • Health care providers and organizations, such as mental or behavioral health providers(collectively, “Providers”), who provide health care, wellness and other related health services(collectively, “Provider Services”) and who subscribe to the Platform. We refer to the individuals who are affiliated with such Providers as “Provider Users.”
  • Individuals who are responsible for administering benefits or related services for the employers and other organizations who are clients of Previdence (each a “Client”). We refer to such individuals as “Administrative Users.”
  • Individuals who are the recipients of benefits or related services from our Clients and who are named on the rosters provided to us by our Clients. We refer to these individuals as “Client Users.”
  • Other individuals who are authorized by us, our Clients, or Providers to use the Platform. Such individuals together with our Provider Users, Administrative Users and Client Users are the “Users” of the Platform.

What information we collect about you

We collect and store anyinformation you share on the Platform. The information we collect includesinformation that can identify you or your household (collectively, your“personal information”). Your personal information does not include anydeidentified information we collect. You may choose not to provide information to us, but certain information (including personal information) will be collected each time you visit the Platform. The information we collectabout you may include but is not limited to the following categories ofinformation:

Please know that deidentified data is not your personal information. Deidentifieddata is information that does not contain any personal information about you or your house hold and for which there is not a reasonable basis to believe that it can be used to identify you. We may use and disclose deidentified data as permitted by the laws and contracts that apply to us .For more information, please read the Section below on our commitment regarding deidentified data.

How the Platform may access other applications and data on your devices

With your permission, thePlatform may request access to other data or applications on the device orbrowser you choose to connect to the Platform, such as your device’s camera,photo library, contacts, location services, defaults (such as Siri and Search,Notifications, Background Platform Refresh, Cellular Data, Storage), phonedialing, or text messaging application (such as, your “Short Message Service”or “SMS”). You can withdraw your permission by accessing the Platform in yourdevice’s or browser’s settings.

For what purposes we collect, store,and use information about you

We use your personalinformation and other information we collect on the Platform to operate thePlatform, to provide services to you, to fulfill the purpose(s) for which you provided the information to us,and to support treatment, paymentand health care operations activities. We may also use your personalinformation as permitted or required by the laws that apply to us, includingwithout limitation the following:

  • For any Purpose Authorized by You or Your LegallyAuthorized Representative.
  • ConnectingClient Users to Provider Services. For example, if you are Client User orother User seeking to connect with a Provider, we use your information tofacilitate data sharing between you and your Provider so you can get help whenyou need it. For example, the onboarding questionnaire we ask you to completeduring your account registration gives us information on your personalpreferences for Providers and Provider Services.
  • FacilitatingPlatform Tools. We need to process certain data to enable certain featuresand functionality within the Platform. These tools help us facilitate a moreeffective experience and outcome.
  • Communicating with You. Forexample, we use your information to make sure we respondto and address any questions or concerns you may have about the Platform. If you are an Administrative

User, Provider User, or other Userwho is accessing the Platform in a professional capacity on behalf of anorganization, we may contact you in your professional capacity to service yourorganization’s account, answer questions, and provide support.

  • ProvidingYou with Information About Our Platform and Services. To the extentpermitted by the laws that apply to us, we may use your information to send youemail, phone, or SMS reminders, notifications, and updates about the Platform,your use of Platform, profile, or account. With your permission, we may useyour information to email you offers, special promotions, or discounts, andother forms of advertising or marketing communications; and, if you engage withus in a professional capacity on behalf of an organization, we may emailpromotions, discounts, and content that we think might be relevant to yourorganization. With respect to ProviderUsers, we may use your information to determine whetheryou are eligibleto subscribe to our Platform, to match you with clientsbased on your professional expertise, and to facilitaterelated communications.
  • Personalizingyour Platform Experience. We use information on your preferences todetermine how to improve your individualized experience of the Platform.
  • Monitoringand Protecting the Platform Security. We may use your information to makesure only you can access your account on the Platform, to place controls orchallenges to prevent unauthorized access, to issue security patches and bugfixes, to track potential abuse on the platform, prevent and detectsecurity incidents, protectagainst malicious, deceptive, fraudulent, or illegal activity, or prosecute those responsiblefor such activities.    
  • Monitoringand Improving Quality of the Platform and Provider Services. To ensure the quality of the Platform as well asof our Providers and their Provider Services, we may review your correspondence with us and your Providers forquality assurance purposes, includingif you raise a concernabout your Provideror we have concerns about a specificProvider’s care. We may also review your correspondence with Providers if we have a reasonto believe there is a security, legal, or fraud issue occurring with thatspecific account. We may also use information to understand how we can improvethe Platform, such as determining if resources shouldbe applied to existing,popular features or new features, or whether to remove old features no longerproviding value.
  • Performing Data Analytics. Forexample, we may aggregate personalinformation about you withother User information to provide insights into the effectiveness of thePlatform and Provider Services. 
  • Complyingwith Applicable Laws and Enforcing our Terms of Use. We collect informationrequired to satisfy certain legal requirements and to enforce our Terms of Use.
  • Protecting our Users, Propertyand Platform.
  • PerformingOther Legitimate Business Interests. We may use your information for theproper management and administration of our business.                                        

We may use deidentified data for any purpose permitted by applicable law.

 

With whom may we shareyour information

We may share your information, includingpersonal information, as permitted or required by the laws thatapply to us, including without limitation with:

  • Anyone Authorized by You or Your LegallyAuthorized Representative.
  • Our Workforce and Affiliated Organizations.
  • Your Providers. For example, if you are a Client User we will share your information with the Providers whoyou choose to engage with in connection with the Platform. If you are aProvider

User providing Provider Services,we may share your information with other members of Client User’s care team tofacilitate care coordination.

  • ClientsAffiliated with You. For example, if you are a Client User who is using thePlatform in connection with your employment or engagement by one of ourClients, we may share certain limited information about your use of the Platform with that Clientto provide the Platform to youand to facilitate, if applicable, the Client’s payment for Provider Servicesyou may and use. We may also share aggregated and fully de-identifiedgroup-level usage data with our Clients.
  • Peoplewho Help Us Provide the Platform. We may share your information, includingpersonal information, with our business partners,contractors and third-party service providers engagedto help us operatethe Platform and promote our business (collectively, “Service Providers”). Please see the Section on Our ServiceProviders below for moreinformation.

Wemay share your personal information and other information we collect on the Platformto operate the Platform, to provide services to you,to the fulfill the purpose(s) for which you provided the information to us, andto support treatment, payment, and health care operations activities. We willnot sell your personal information to advertisers or other third partieswithout your permission.

We may also share your personal information and other information for the followingpurposes:

  • Protecting our Users, Propertyand Platform. For example,if we have reason to believe that youor any other person may be in immediate danger or your privacy has beeninfringed upon, we may use the information to investigate or reach out to youor the appropriate authorities if it is legally appropriate or permitted to do so.
  • Legal Process,Obligations and Rights. We may shareyour information to respond to subpoenas,court orders, or law enforcement requests, to establish or exercise our legalrights or defend against legal claims, or as otherwise required or permitted byapplicable law.
  • CompanySale or Bankruptcy. We may share some of your data to prospective buyers ofPrevidence Corporation or any other successors in the event of a merger,divestiture, restructuring, reorganization, change of control, dissolution, or other sale or transfer of some or all ofour assets, including as part of a bankruptcy, liquidation, or similarproceeding.         

We may share deidentified data for any purpose that ispermitted by applicable law. 

Our Service Providers

We may share your information, including personal information, with our ServiceProviders in connection with Platform operations andour business. Examples include:

  • DataHosting and Storage Providers. For instance, we use Amazon Web Services(AWS) to host the infrastructure underlying the Platform.
  • TechnologyService Providers. Examples include third parties who integrate tools intothe Platform to give it more functionality, like technology that helps us provide live audio, video, andgroup meetings, or who otherwisehelp us ensure the safety and securityof the Platform and that of our users.
  • CustomerService Providers. Examples include third parties who integrate their toolsinto the Platform to keep track ofyour requests and questions in a secure way.   
  • EmailManagement and Communication Service Providers. Examples include thirdparties with tools that we use to help us communicate with you more easily,efficiently, and expeditiously.
  • Marketingand Advertising Service Providers. If permitted by applicable law and you,we may also work with marketing andadvertising service providers.
  • RecruitingProviders. If you are a Provider User, we may also share certaininformation you voluntarily provide on the Platform, such as your name,photograph, credentials, experience, specialties, and qualifications, withrecruiters to facilitate, monitor, and track our recruitment process.
  • Billingand Payment Processing Service Providers. Examples include third partieswho help process payments in a secure way. These vendors also help us payProviders and issue tax documents to them. For this reason, we may share youremail address with these vendors and other data that is needed to pay Providerssuch as a Provider’s name and tax ID.    
  • Reportingand Analytics Service Providers. Examples include third parties who keeptrack of those Platform webpages and features that are most used.
  • Financial,Regulatory, and Legal Advisors. Examples include third-party financialadvisors we engage for accounting and financial planning activities or anythird-party regulatory or legal advisor who we engage to advise us on businessand other legalmatters, or otherwise to help us remain incompliance with applicable law.                                         

Text messages and push notifications

We may use your information tosend you periodic emails or text messages. In some cases, these communications are delivered to facilitate the provision of Provider Servicesor are directed not by us, but by a Provider User, Client User, orother User of the Platform. Other times, they may be to provide marketingcommunications, if you have consented to receive marketing communications. Youmay receive these notifications through any electronic means of communications,including email or your device’s SMS (othertext messaging application) and notification features.These communications may notbe secure (not encrypted). There are risks associated with unsecurecommunications that you should consider. These risks include (withoutlimitation) that an unauthorized person may get access to and read these communications. By using thePlatform, you are agreeing to accept these risks and consent to receiveunsecure communications.

If you wish to opt-out from receiving push notifications, you may turnthem off in your device’ssettings. You may also opt-out by replying “STOP” in response to a textmessage. This opt-out process does not apply to live phone calls or emails,which may continue if we need to reach you.

How long we store (retain) your information

We may store your information for as long as yourinformation is needed in connection with your access and use of our Platformand to the extent necessary to comply with our legal and contractual obligations (for example, if we are required to retain your data to comply with laws that apply to us), resolvedisputes, and enforce our legal agreements and policies.

Our commitment regarding deidentified data

We take reasonable measuresto ensure that the deidentified data that we collect or create cannot beassociated with you or your household. When we collect or create deidentifieddata we commit to maintain and use the information in deidentified form and will not attempt to reidentify the information unless we are permitted to doso by applicable law.

Website browsers and do not track (DNT) signals

Some website browsers have a “do not track” (DNT) featurethat lets you tell otherwebsites that you do not want tohave your online activities tracked. No uniform technology standard forrecognizing and implementing DNT signalshas been finalized. We do not currently respondto a browser’s DNT signal.We are not aware of, and do not knowingly allow such third parties totrack your activity over time on the Platform.However, we may share information about your Platformusage with othersas described in thisPrivacy Policy.

Pixels, cookies, and web beacons

Wemay use technologies like pixels, cookiesand web beacons(collectively, “Cookies”) to perform certain tasks, such as to help connectClient Users with Provider Services, personalize your experience, comply with laws,improve, monitor, and analyze usage of the Platform, deliverfaster and saferexperiences, and (ifpermitted by applicable law) for advertising purposes, as described below.

  •  NecessaryCookies. We use this technology for the Platform to operate and function.This technology allows us to regulate and monitor User experiences, assessattribution internally, control data ingress, provide security, and comply withlaws and your indicated preferences.
  • Analytic/Functional Cookies. We use this technology to perform data analytics. For example, this technology allows us to work withService Providers to process data related to traffic sources, visits, and siteinteraction.
  •  AdvertisingCookies. If permitted by applicable law, we may use this technology forpersonal advertising and to measure the effectiveness of advertising. In doing so, we are able to reach more people who may be looking for ourservices or services we support while minimizing our advertising costs, whichhelps us to reduce the costs of our services. Additionally, our ServiceProviders may use your data to build a profile of your interests and show yourelevant advertisements on other sites. If you opt in to this technology, limited personal information about you (such as visit information) may be shared foradvertising purposes. If you opt out of this technology, you may experienceless personalized and useful advertising.              

Social media

We may engage with you on thirdparty social media sites like Instagram, Facebook, LinkedIn or X (formerly Twitter). If you engagewith us on social media,you “opt in” to sharingyour social media contentwith us. Be aware that the content you submit to social media sites (uploads,posts, comments, shares, "likes” and any messages or tweets) will be publiclyvisible. To manage the socialmedia notifications, you receive or to adjust your privacy settingson your social media accounts,please access the profile section of your social media accounts andfollow the directions there.

 

Artificial intelligence (AI)

We may use artificialintelligence (AI), machine learning engines or systems, neural networks, orsimilar systems (collectively “AICapabilities”) to support and developfeatures and functionality of ourPlatform and to improve the quality of our services. For example, we may use AICapabilities to detect security risks, synthesize information for customer serviceagents, and help Provider Users manage and documentsessions more effectively. We expect use of these AI Capabilitiesto ultimately improve our Platformand experiences for all our Users. By using our Platform, you acknowledge andagree that your personal information and deidentified data derived from your personal information may be processed by theseAI Capabilities in accordance with this Privacy Policy.

Your information and HIPAA

HIPAA refers to the federalHealth Insurance Portability and Accountability Act and its implementingregulations. HIPAA protects the privacy, security and accessibility ofprotected health information maintained by or on behalf of certain HIPAAcovered entities, such as health plans and health care providers who submitcertain electronic transactions to health plans. Previdence Corporation isoften a HIPAA business associateof its Providers and Clientsand often offersits Platform to Client Users and other Users on their behalf. Accordingly,we apply HIPAA protections to all individually identifiable health informationmaintained on our Platform.

Please also know that when weprovide the Platform to a User on behalf of a Provider or Client who isregulated under HIPAA, the Provider or Client may internally use and externallyredisclose the User’s personal information and other information with others if they are permitted to do sounder HIPAA and other laws that apply to them. We cannot controlhow a User’s health plan, health care provider or otherpeople who work with them use or share the User’s personal information or otherinformation. Users should read their health plans and health care provider’sHIPAA Notice of Privacy Practices for more information about how theirprotected health information can be used and disclosedunder HIPAA. If youhave any questions or concerns about how your health plan or health careprovider is managing your information, please contact them directly.

 

Security for your personal information

We take reasonable steps tokeep your personal information secure and to protect against the loss, misuse,or alteration of your personal information on the Platform. Although we havethese security measures on the Platform in place, it cannot guarantee yourprivacy. Please also be aware that not all electronic communications you mightuse to engage with us, or thePlatform are secure (encrypted). Forexample, your personal email and text messaging on your device’s SMS (or othertext messaging applications) are not secure (not encrypted) methods ofcommunication. There is a risk that such email messages and text messaging onyour device’s SMS (or other text messaging applications) could be interceptedor read by other people. Please do not use unsecure electronic communicationsto communicate with us about confidential matters. By using the Platform, youagree to accept these risks and consent to receive unsecure communications whenyou communicate with us through unsecure communications or if you enable Platformfeatures or functionality that engage with your personalemail, SMS or other text messaging applications.

 

Using the Platform outside of the UnitedStates

We intend the Platform to beused by residents of the United States in (and only in) the United States. ThisPlatform is not intended for use by individuals who are not located in theUnited States. If you are visiting our website or using the Platform fromoutside the United States, please be aware that your personal information andother information will be transferred to, stored, and processed in the UnitedStates, where our servers are located, and our centraldatabase is operated.The data protection and other laws of theUnited States might not be as comprehensive as those in your country. By usingour website or Platform, you understand that your personalinformation and other information may be transferred to our facilities in the UnitedStates and those third partieswith whom we share it as described in this Privacy Policy.

 

Third-party links

The Platform may contain links to websites that areowned or operated by third parties. If you click on a third-party link, you will go to thatthird-party website. We donot have control over third-party websites

and those websites do not operateunder this Privacy Policy. You should review the privacy policies ofthird-party websites before using them.

Children’s privacy

Our Platform is not directed atand not intended to be used by any children under the age of majority (which in most statesin 18). You must not use the Platform if you are under the legal age of majority- 18 years of age. We do notknowingly collect or solicit any information from users under the age of 18 orknowingly allow such users to use the Platform. Children under the age of 18may request that any information posted to the Platform be removed by contactingus at the information provided below. Removing information posted to thePlatform does not guarantee complete or comprehensive removal of the content orinformation posted.

Correction of information; cancellation; misuse of information

Please contact us, using our information below, to:

  •  Request that we correct, delete,or change personalinformation;
  •  Obtain a copy of the personal information we maintain about you;
  • Request that place restrictions on whether or how we collect, use or share your personal information;
  • Cancel your participation; or
  • Report misuse or an unauthorized disclosure of personalinformation.

 

Please know that it might notbe possible for us to correct, delete, or change personal information that hasalready been shared. Deleting information posted to the Platform does notguarantee complete or comprehensive removal of the content or informationposted.

Platform Terms of Use

Your use of the Platform is also subjectto the Platform Terms of Use. Any disputesrelated to this PrivacyPolicy will be governed by the applicable provisions of the Platform Terms of Use, which are incorporatedinto this Privacy Policy by reference.

Privacy Policy changes

We may change this PrivacyPolicy at any time and for any reason. We encourage you to periodically review this page for the latest information. We may notify you of material changesthrough the Platform, by email or by a pushnotification to the mobile phone number you provided to us. By agreeing to thisPrivacy Policy, you agree to receive such notifications. You can access themost current version of the Privacy Policy that applies to your use of the Platform throughthe Platform. You can also contact us, usingthe information below, for a copy.

Unless otherwise specified by us,all changes will be effective upon being updated in the Platform. You should look at this Privacy Policy on a regular basis.The most recent“Last Updated” date is postedat the top of this PrivacyPolicy. You agree to any changes to the Privacy Policy by your continued use ofthe Platform after that date. If you do not agree to the changes, you must stopusing the Platform.
